When creating your Pixcerpt account, provide accurate information about yourself. Your user login credentials and any other information you provide should not be false or use offensive language. Impersonation of another individual or organization is prohibited.

Who can Use Our Services

The Content you Provide

Some parts of our Service allow users to post and exchange opinions and information. We do not filter, edit, or review comments before they appear on Pixcerpt. Comments solely reflect the views and opinions of the individuals who post them, and Pixcerpt, its agents, and affiliates are not liable for any comments or associated liabilities, damages, or expenses that arise from your comments, to the fullest extent permitted by applicable laws.

Permissions you give Us

As part of our agreement, you also grant us permissions that we need in order to provide you with the Service. We do not claim ownership of your content; however, we need certain legal permissions from you to use.

When you share, post, or upload Your Content on or in connection with our Service, you hereby grant Pixcerpt a non-exclusive, royalty-free, transferable, sub-licensable, worldwide license to host, use, distribute, modify, run, copy, publicly perform or display, translate, create derivative works of your content. This license ends when Your Content is deleted from our systems. You agree not to assert any rights or entitlements for any payments or compensation to you or share in any revenue from any monetization against the use of Your Content. You also agree not to restrict any relinquished rights as agreed upon herein towards the use of Your Content until such content is removed or deleted from our systems.

Removal of Your Content from our Services

You acknowledge that we have sole discretion to remove any content or information you share on the Service if we believe it violates these Terms, our policies (including our Community Guidelines), or if required by law. Instances of repeated infringement of intellectual property rights or the posting of inappropriate, false, or misleading content will result in action being taken against Your Content.

If you encounter any offensive links on Pixcerpt, you are encouraged to inform us at any time. While we will consider requests to remove links, we are not obligated to respond to you directly.

When you request to close your account or when the Service is terminated, the deletion process typically takes 14 days to initiate. However, it may take up to 90 days to completely remove your account from our systems. During this period, your content will no longer be visible to other users, but it remains subject to these Terms of Use and our Privacy Policy. Certain circumstances, such as technical limitations, ongoing investigations, or legal obligations, may necessitate an extension of this timeframe. In such cases, content will be retained only for as long as necessary, in accordance with the applicable laws and regulations.

Upon the deletion of Your Content from our systems, these Terms shall cease to be binding between you and us. However, our agreement under the Arbitration section will remain in effect even after the termination, disabling, or deletion of your account. Please refer to the Arbitration section of these Terms for further details.

Reporting Content

We encourage you to report any content that violates our Terms, policies, or local laws. Upon receipt of your report, we will review it and take appropriate action at our discretion. By choosing to report content, you acknowledge that we are not obligated to keep your report confidential or compensate you for it. You also agree to submit reports in good faith and refrain from misusing our reporting Services by providing baseless feedback.

Content Liability

We shall not be liable for any content that appears on Pixcerpt. By using our Service, you agree to indemnify and hold us harmless against all claims arising from Your Content, including any content linked from third-party websites. Pixcerpt may include links to third-party services such as websites, applications, or advertisements (referred to as "Third-Party Links"). We do not provide warnings when you navigate away from our Services. Pixcerpt does not control or assume responsibility for Third-Party Links, which are provided solely for convenience. We do not review, endorse, or warrant Third-Party Links, their content, products, or services. Your use of Third-Party Links is at your own risk, and you may be subject to their terms of use.

If you choose to link your content to Pixcerpt or our Services, you must adhere to certain restrictions:

Your content or website must not falsely imply sponsorship, endorsement, or approval by Pixcerpt without our express written permission. By linking to our Services, you agree to comply with our Terms and conditions.

You may not link Pixcerpt or its Services to websites that contain libelous, obscene, pornographic or criminal content, or that infringe upon third-party rights.

We reserve the right to remove any Third-Party Links if we believe it violates these Terms, without prior notice.


Reservation of Rights


We reserve the right to alter, update, or remove any part of Your Content from our Services if it violates these Terms. We have full authority and discretion to take action against Your Content, including removing, restricting, suspending, or terminating your accounts, or removing any information or materials, in response to government requests or if we determine, in our sole discretion, that such action is in the best interest of Pixcerpt or our users, or constitutes a breach of these Terms and conditions.

We are not obligated to review or pre-screen Your Content before or after it is published on Pixcerpt. You agree to use all User Content at your own risk, as we do not assert the accuracy or completeness of Your or User Content posted on our Services. We reserve the right, but are not obligated, to pre-screen, review, refuse, or remove any content that violates these Terms or is otherwise objectionable, as determined by Pixcerpt.


Limitation of Liability


While using our Services, you may encounter content that you find offensive or inappropriate, whether through interaction with other users on the Service or via Third-Party Links to websites or services. We are not responsible for, nor do we endorse, any content you come across while using our Services. We do not extensively screen users of our Services beyond meeting compliance and legal obligations. Our Services may contain Third-Party Links to websites or services not under our control, so you access these at your own risk.

By using our Services, you agree to release us from any liability arising from your interactions with other users, the content you encounter, and any Third-Party links or services you may use while using our Services.

You agree that our products and services are offered with the understanding that Pixcerpt and its users do not provide legal, medical, counseling, or other professional services or advice. The Service or products on the Service are not intended to replace professional services or advice.

You acknowledge and agree that your use of the Services and any products offered through the Services is at your sole risk. Some jurisdictions do not allow limitations on implied warranties, so some limitations may not apply to you, and you may have additional rights.

Liability Cap

To the fullest extent permitted by applicable law, Pixcerpt (including its officers, directors, employees, agents, subsidiaries, partners, or affiliates) shall not be liable for any loss of profits or revenue, or for indirect, consequential, punitive, special, or incidental damages, or any costs due to loss of data or information, interruptions, or procurement of Services, arising from or in connection with the Service or these terms, whether or not we know or have been advised of the possibility of such damages.

Under no circumstances shall our total aggregate liability for any damages exceed the greater of: (a) the total amount paid to Pixcerpt in the twelve-month period prior to the action giving rise to the liability, or (b) one hundred dollars ($100). The foregoing does not affect or apply to any statutory liability of Pixcerpt for death, tangible property damage, or personal injury caused by our breach of obligation, negligence, or willful misconduct under applicable law.


Indemnification


You agree to indemnify, defend, reimburse, and hold harmless Pixcerpt and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorney's fees) arising out of or related to your actions, use of the Service, or any violation of these Terms. This includes claims from third parties alleging that your content infringes or violates their rights, actions we take based on suspected violations, and disputes between you and other users or third parties.

You agree to cooperate with Pixcerpt in the defense of any such claims. We retain the right to manage our legal defense at our discretion, even if you are indemnifying us. In such cases, you agree to cooperate with us to enable us to implement our strategy, and agree not to settle any claim without obtaining our prior written consent.


Arbitration


This dispute resolution process pertains to disputes between you and us. For claims, demands, and damages arising out of disputes between you and other users or third parties, you agree to release Pixcerpt from any and all liability. Disputes between you and us are resolved through binding arbitration on an individual basis, and not on a class or collective basis. We each waive the right to a trial by jury or to bring such claims before a court.

Notification

Any party with a dispute must notify Pixcerpt in writing with a Notice of Dispute, providing detailed information about the alleged infringement, including identification of the intellectual property rights involved and the allegedly infringing material. The Notice of Dispute must include your full name, the email address associated with your Pixcerpt account, your Pixcerpt username, your country of residence, and if you are a U.S. resident, your state of residence, and your signature. If you are represented by legal counsel, provide their contact information. The notice can only be sent by an individual party.

Internal Escalation

Upon receipt of the Notice of Dispute, we will review the disputed information or may request additional information or documentation. Our response to the Notice of Dispute will be provided within 90 days. Some circumstances, such as ongoing inquiries or other legal requirements, may interfere with the response time to the Notice of Dispute. In such instances, we will respond within the minimum necessary period, as per relevant laws and regulations. You agree to first attempt to resolve the matter through informal discussion and negotiation. If the dispute between you and us remains unresolved, it will be escalated to the next level.

Mediation

If the internal escalation does not lead to a resolution, you and Pixcerpt agree to participate in mediation conducted by a neutral third party. The mediator will facilitate communication and negotiation to help the parties reach a mutually acceptable solution.

Arbitration

If mediation is unsuccessful, you and Pixcerpt agree to resolve the dispute through binding arbitration. The arbitration will be conducted by arbitration administered by the American Arbitration Association ("AAA") in accordance with its rules. The arbitrator's decision will be final and binding, and judgment may be entered upon it in any court of competent jurisdiction. Unless the parties agree in writing to a different location, the place of arbitration shall be selected by Pixcerpt in its sole discretion at the time of the dispute. The arbitration may be conducted in person, by phone, or based on written submissions, as determined by the arbitrator. The number of arbitrators shall be [one unless determined by the AAA rules]. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. If the arbitrator determines that either the substance of a party's claim or the relief sought is frivolous or filed for an improper reason, that party will be responsible for paying all AAA costs and fees related to the arbitration.

Exclusion of Certain Claims

This dispute resolution process does not apply to claims of intellectual property infringement, trademark infringement, violations of our Policy, or efforts to interfere with the Service in an unauthorized way. Such claims or disputes may be brought in any court of competent jurisdiction.


Updating our Terms


By using our Services, you agree that we reserve the right to amend these Terms, including any other applicable policies on the Services, at any time. Unless otherwise required by law, we will notify you and provide an opportunity to review such changes before they go into effect. You should regularly review this Terms. Your continued use of the Services after any such changes constitutes your agreement to them. You agree to be bound by the then-current version of these Terms and policies through your continued use of the Service.
